Delaware and Wyoming are the two state names every international founder hears first. Both are excellent places to form a company, but they are excellent for different reasons. For an LLC in particular, the decision is clearer than many online articles suggest.

Where Delaware wins
- Reputation and case law. Delaware's business courts and decades of decisions make outcomes predictable. This matters most for complex companies with investors and many owners.

- Sophisticated structures. Series LLCs, complex operating agreements and multi-party governance are well supported.
Where Wyoming wins
- Lower annual cost. $60 or so a year, compared with Delaware's $300. Over five years, that is roughly $1,200 saved.
- Simplicity. A short annual report; nothing to calculate.
- Privacy. Members and managers are not listed in public formation records.
- No state income tax at all, for the company or its owners.
- Strong LLC law. Wyoming created the first LLC statute in the USA and has robust protections for members.

What does not change
- Federal tax. Identical in both states. A foreign-owned single-member LLC files Form 5472 every year in either state. See Form 5472 explained.

- Payment platforms. Stripe, PayPal and marketplaces accept both.
- Other states. If you operate physically in a third state, you may need to register there whichever state you choose.

Already formed in Delaware?

An LLC can usually change its state of formation through a conversion or merger, but it involves filings, fees and updating your bank and platforms. Choosing well at the start is easier.
