How to Register a Company in California from India (2026): The $800 Tax, When California Applies Anyway, Costs and Better Alternatives
California company registration from India: the $800 annual tax, when California applies even to out-of-state companies, costs, Delaware vs California, ODI.

For many Indian founders, "a company in America" means Silicon Valley. California is home to the technology giants, many Indian-American founders and investors, and a large share of the customers Indian SaaS and IT companies serve. It is natural to ask whether the company should be Californian too.
An Indian resident can register a California LLC or corporation from India. But California is the most expensive popular state to keep a company in, mainly because of its $800 annual tax, and a company formed elsewhere can still owe California tax if it does business there. This guide explains when California makes sense and what the alternatives are.
Short answer: with UCB, a California LLC with EIN costs $249 all-in, and keeping it active costs $963 a year. Every California LLC and corporation, and every out-of-state company doing business in California, pays an $800 annual tax from its first year, and California LLCs pay an additional LLC fee once California income reaches $250,000. Form in California only if the business will operate there: California staff, an office, stock in a California warehouse, property, or an owner living there. For a business run from India serving Californian customers, a Wyoming LLC or, for startups raising money, a Delaware corporation is usually better. Funding the company is generally an ODI through your Indian bank.
When California applies whether you like it or not
California taxes companies that are doing business in California, wherever they were formed. Broadly, that includes companies organised in California, companies commercially domiciled there, and companies whose California sales, property or payroll exceed thresholds set each year. A Wyoming LLC with a California office, employees or warehouse, or very large California sales, may have to register in California and pay the $800 tax anyway. A business run from India that simply has Californian customers usually does not.

Who should register in California from India
California suits businesses that will be there: an office in the Bay Area or Los Angeles, Californian employees, inventory in a Californian warehouse, Californian property, or a founder relocating to California with immigration advice.
California is usually not needed for SaaS, IT services, agencies and online sellers run from India, even when most customers are in California. Investors in Silicon Valley invest in Delaware corporations, not California ones.
| California | Delaware (corporation) | Wyoming (LLC) | |
|---|---|---|---|
| With EIN, all-in with UCB | LLC $249 | $308 | $249 |
| Keeping it active each year | $963 | $578 | $121 |
| State tax with no California activity | $800 a year from year one | Franchise tax at the minimum if filed correctly | $60 licence tax |
| Best for | Real Californian operations | Startups raising investment | Businesses run from India |

The $800 annual tax is paid to California by the client, or by us with our 10% processing. You need your passport, Indian address, proof of address, two or three company names and a business description; no SSN or US visit. A California company also files a statement of information every two years and a California return every year, which a California accountant prepares; we refer you.
US tax and the Indian side
At the federal level, a single-member LLC run from India, without a US presence, usually owes no US federal income tax and files Form 5472 every year; a corporation pays 21%. A California office or staff creates US and California tax. See effectively connected income explained.
On the Indian side, funding is generally an ODI through your bank within the $250,000 LRS limit, with 20% TCS above ₹10 lakh of investment remittances a year; disclose the company in Schedule FA. See registering a US company from India.
Worked examples
These are illustrative examples, not client cases.
Example 1: the Bay Area sales office. A Pune SaaS company hires two account executives in San Francisco. It forms a Delaware corporation, which registers to do business in California and pays California tax; the California filings are handled by a California accountant.
Example 2: the SaaS founder with Californian customers. A Bengaluru founder whose customers are mostly in California, but who runs everything from India, forms a Wyoming LLC instead of a California one and avoids the $800 tax.
Example 3: the startup. Hyderabad founders raising from Silicon Valley angels form a Delaware C-Corporation, as the investors require.
Common mistakes
- Forming in California "because the customers are there" and paying $800 a year for nothing.
- Assuming a Wyoming or Delaware company escapes California when it has a California office or staff.
- Forming a California corporation for investors who want Delaware.
- Letting a California company lapse without its final return, so the $800 keeps accruing. See closing a US company from abroad.
