Wyoming LLC from India (2026): Cost, Documents, Annual Report, Privacy, Banking and the Indian Side for Indian Founders

Forming a Wyoming LLC from India: all-in cost, documents, timeline, the yearly $60 report, privacy, Form 5472, US banking, and ODI, LRS and TCS in India.

Wyoming LLC from India (2026): Cost, Documents, Annual Report, Privacy, Banking and the Indian Side for Indian Founders

Ask Indian freelancers, agency owners and online sellers which US state they formed their company in, and the most common answer is Wyoming. It is cheap to form and to keep, it asks for one short report a year, it does not put owners' names on the formation filing, and it works just as well for a developer in Kochi as for a designer in Jaipur.

This guide is for Indian founders who have settled on, or are considering, a Wyoming LLC. It covers what it costs from India, the documents, how long it takes, what Wyoming expects every year, how banking works, and what changes on the Indian side. For the full picture of US companies for Indians, including corporations and other states, see registering a US company from India.

Short answer: with UCB, a Wyoming LLC with EIN costs $249 all-in, including Wyoming's $100 filing fee and the first-year registered agent, or $348 with a US business bank account application, and the state usually approves it in about 3 business days. You need your passport, an Indian address and a company name; no SSN, US address or visit. Every year Wyoming expects an annual report with a $60 licence tax, due on the first day of the month the LLC was formed; keeping it active with us costs $121 a year, or $421 including the federal return. A single-member LLC run from India usually owes no US income tax but files Form 5472 every year. On the Indian side, funding it is generally an ODI through your bank within the $250,000 LRS limit, with 20% TCS on investment remittances above ₹10 lakh a year.

For a business run from India with clients or customers anywhere in the USA, the state you form in does not change who you can sell to, which banks you can apply to, or whether Stripe accepts you. It changes the yearly cost and paperwork, and Wyoming is among the lowest. Choose Delaware if you will raise from US investors, and Texas or Florida if you will have a real office, warehouse or property there. What Wyoming expects every year

  • Annual report and licence tax, due on the first day of the month the LLC was formed. The tax is $60 for almost every foreign-owned LLC (it is based on Wyoming assets, which most companies run from India do not have).
  • A registered agent, kept in place every year. See registered agent explained.
  • If the report is missed, Wyoming administratively dissolves the company after about 60 days, and it can be reinstated only within two years. See reinstating a dissolved US LLC.

We remind you before every deadline and file the report as part of keeping the company active. See the Wyoming LLC guide.

US federal tax and filings

A single-member LLC owned by an Indian resident is disregarded for US income tax. If you do all the work from India, with no US office, staff or dependent agents, the income is usually not effectively connected with a US business, so neither the LLC nor you pay US federal income tax. The India–US treaty adds that business profits are taxable in the USA only through a permanent establishment. The LLC still files Form 5472 with a pro forma Form 1120 every year, with a $25,000 penalty for missing it. US clients should usually get your W-8BEN, not a W-9. See Form 5472 explained, effectively connected income explained and W-8BEN-E vs W-8BEN.

The Indian side

Indian tax and FEMA are for your chartered accountant; in outline:

  • ODI. Sending money to the LLC, for example the opening balance for its bank account, is generally an overseas direct investment under the 2022 overseas investment rules, made through your authorised dealer bank. A resident individual can invest only in an operating business not in financial services.
  • LRS and TCS. Up to $250,000 a financial year; investment remittances above ₹10 lakh attract 20% TCS, credited against your tax later.
  • Indian income tax and disclosure. Indian residents are taxed on worldwide income; your CA will advise how the LLC's profits are taxed in India and when. The LLC and any US bank account must be shown in Schedule FA.
  • Bringing money home. Keep invoices and company records for your Indian bank.

See registering a US company from India for more detail.

Banking and payments

A Wyoming LLC can apply remotely for a US business bank account with its articles of organization, EIN letter, your passport and proof of address. A US business address with your own suite number helps, because many banks do not accept the registered agent's address as the business address; we offer one for Wyoming companies at $60 a year. See US business bank accounts for non-residents, why banks reject non-resident applications and Stripe for non-residents.

Worked examples

These are illustrative examples, not client cases.

Example 1: the Kochi developer. A freelance developer with three US clients forms a Wyoming LLC with a US bank account, invoices from it and gives clients a W-8BEN. Each year: the Wyoming report, Form 5472, and their Indian return with Schedule FA.

Example 2: the Jaipur Etsy and Amazon seller. A handicrafts seller forms a Wyoming LLC to sell on Amazon.com and through a US Stripe account. If stock is held in US warehouses, US state sales tax rules can apply; we refer sales tax to a specialist.

Example 3: the forgotten report. An Indian owner missed the Wyoming report for 14 months and the LLC was dissolved. It is reinstated within the two-year window by paying the missed licence taxes and the reinstatement fee, and the federal filings are brought up to date at the same time.

Common mistakes

  • Missing the Wyoming annual report because "no tax was due".
  • Ignoring Form 5472 because the LLC had no US tax to pay.
  • Giving US clients a W-9 instead of a W-8BEN.
  • Skipping ODI formalities when funding the LLC.
  • Using the registered agent's address on bank applications.
