Do Non-Resident LLC Owners Need to File a Personal US Tax Return?
When a non-resident owner must file a personal US return (Form 1040-NR): effectively connected income, partnership income, refunds, ITIN requirements and deadlines.

Owning a US company does not automatically mean you must file a personal US tax return. Your company has its own filings. Whether you personally file depends on what kind of US income you have and how connected it is to the USA.
This guide explains when a non-resident owner needs to file Form 1040-NR, the return for non-resident individuals, and when they usually do not.
Two separate questions
- Does the company file? Almost always yes. A foreign-owned single-member LLC files Form 5472 with a pro forma 1120; a multi-member LLC files Form 1065; a corporation files Form 1120.
- Do you personally file? Only in certain situations, covered below.
When a personal return is usually required
Your business income is effectively connected with the USA
If your single-member LLC (or partnership) is engaged in a US trade or business, its profits are "effectively connected income" and taxable in the USA at the normal graduated rates, after expenses. Because a single-member LLC is disregarded, the income is reported on your personal return. Signs of a US trade or business include:
- a US office or other fixed place of business,
- employees or dependent agents working for you in the USA,
- inventory held in the USA in some arrangements, or
- you personally working in the USA.
A tax treaty can change the answer, for example by taxing business profits only if you have a permanent establishment in the USA. See effectively connected income explained and US tax treaties.
You are a partner in a US partnership with effectively connected income
Foreign partners in a partnership with US business income generally file a personal return, and claim credit for the tax the partnership withheld on their share. See Form 1065 with foreign partners.
You want a refund
If too much US tax was withheld from your income, for example on dividends or royalties without a treaty claim, a return is the way to claim the excess back.
You sold US real estate or certain US business interests
These sales generally require a return.
When a personal return is usually not required
A non-resident who owns a single-member LLC that:
- performs all of its services outside the USA,
- has no US office, employees or dependent agents, and
- holds no US inventory that creates a US business,
often has no effectively connected income, and therefore may not need to file a personal return. The LLC's own Form 5472 filing is still required.
Similarly, if your only US income is passive income such as dividends, and the correct tax (30% or the treaty rate) was withheld at source, you may not need to file. See FDAP income and 30% withholding.
Deadlines

Extensions must be requested on time and extend the time to file, not to pay. See tax extensions explained.
You need an ITIN
Non-residents filing a personal US return need a US taxpayer number. If you do not have an SSN, that means an ITIN, which can be applied for together with the return. Plan ahead: ITINs take about two to three months. See what is an ITIN and ITIN processing time.
What about state returns?
If your business has nexus in a state with an income tax, you may need a state return as well. See state taxes for foreign-owned LLCs.
And your home country?
Your country of residence will usually tax your worldwide income, including your LLC's profits. If you pay US tax on effectively connected income, a treaty or local rules often allow a credit at home. Coordinate with your local adviser so the two filings match.
