Choosing a Name for Your US LLC: Rules, Tips and Mistakes to Avoid

How to pick a US LLC name that is available, compliant and brandable, the state naming rules, and why non-residents should check trademarks and domains before filing.

Your company name will appear on your bank account, invoices, contracts, payment platforms and tax filings for years. Changing it later means updating the state, the IRS, your bank, every platform and your clients. A little care at the start saves a lot of work.

The basic naming rules

Every state sets its own rules, but most require:

  • A designator: the name must end with "LLC", "L.L.C." or "Limited Liability Company" (some states allow variations such as "Ltd. Liability Co.").
  • Distinguishable from existing names in that state's records. Adding "the", changing punctuation, or switching "LLC" for "Inc" usually does not make a name distinguishable.
  • No restricted words without approval or a licence, for example "Bank", "Insurance", "Trust", "University", "Attorney", or professional titles such as "Engineering" in some states.
  • No words implying a government connection, such as "Federal", "FBI" or "Treasury".
  • No words suggesting a different entity type, such as "Inc" or "Corporation" in an LLC name.

Tips for non-resident founders

1. Check availability in your chosen state

Availability is checked state by state. A name taken in Wyoming may be free in Delaware. We check availability before filing.

2. Check trademarks

State availability does not mean you are free to use the name. A business elsewhere may own a federal trademark for it. Using a name that infringes a trademark can lead to a demand to rebrand, often after you have built your business. Search US trademark records before you commit, especially if you are building a brand. See trademarks for your US company.

3. Check the domain and social handles

If you plan a website or online presence, make sure a suitable domain and handles are available, or that you are comfortable with alternatives.

4. Keep it simple and consistent

Use exactly the same spelling everywhere: the state filing, EIN application, bank account and platforms. Mismatches such as "ABC Tech LLC" vs "ABC Technologies LLC" cause delays with the IRS and banks.

5. Avoid names that are hard to spell or pronounce

Clients and banks will type it. Special characters, unusual spellings or very long names create errors.

6. Think internationally

Check that the name works in your home market and does not have unfortunate meanings in other languages you sell into.

7. Have alternatives ready

Give us two or three options, in order of preference, so filing is not delayed if the first is unavailable.

Your LLC's legal name is the one registered with the state. If you want to trade under a different name, for example a brand or store name, you can register a DBA ("doing business as") instead of forming another company. See DBA registration.

Can I change the name later?

Yes. You file an amendment with the state, then update the IRS, your bank, payment platforms, contracts and invoices. It is entirely possible, but takes time. Choosing well at the start is easier.

Name and privacy

In states such as Wyoming and New Mexico, the LLC's name appears in public records but the owners do not need to. Choose a name you are comfortable having publicly searchable.

Common mistakes

  • Choosing a name already used as a trademark by a US business.
  • Including restricted words without the required approval.
  • Using slightly different versions of the name on different documents.
  • Picking a name that is identical to a well-known brand in another industry, which can still cause conflict.
