Nevada LLC for Non-Residents: Pros, Cons and Real Costs
Nevada has no state income tax and strong privacy, but higher annual fees. Is a Nevada LLC worth it for foreign founders? An honest breakdown with real costs and comparisons.

Nevada has long been marketed as a business haven, and it does offer real advantages: no state income tax, privacy for owners and established business law. But for many non-residents it is not the best value. This guide gives you an honest breakdown.
The pros
- No state corporate or personal income tax.
- Privacy: owner information is not required in the public formation filing, though managers or officers are listed on the annual list.
- Established business law and a business court in larger counties.
- Asset protection: Nevada's LLC law offers strong charging-order protection for members against personal creditors.
- A good fit for businesses actually operating in Las Vegas, Henderson or Reno.
The cons
- Higher formation cost: about $425 in state fees, which includes the articles of organisation, the initial list of managers or members, and the state business licence.
- Higher annual cost: the annual list and the state business licence renewal together cost about $350 a year.
- Commerce tax: a gross receipts tax applies to businesses with Nevada gross revenue above a high threshold ($4 million), which affects few small foreign-owned companies but is worth knowing.
- Less privacy than Wyoming in practice, because the annual list names managers or officers.

When Nevada makes sense
- You will have an office, staff or operations in Nevada.
- You are in gaming-adjacent, hospitality, entertainment or tourism businesses centred on Las Vegas.
- Your partners or investors are based in Nevada and prefer it.
- You plan to relocate to Nevada.
Federal tax is the same
The state does not change federal obligations. A foreign-owned single-member Nevada LLC files Form 5472 every year, even with no income. See Form 5472 explained.
Our business address is in Nevada
Our US business address is in Henderson, Nevada, but you do not need a Nevada company to use it. A Wyoming, Delaware or New Mexico LLC can use a Nevada business address. See US business address and virtual offices.
