How to Register a Company in New York from India (2026): LLC Publication, Costs, Taxes and When New York Is Worth It
New York company registration from India: who it suits, all-in cost, the LLC publication requirement, the $9 biennial statement, NY taxes, ODI and LRS.

New York carries weight. For Indian founders in finance, media, fashion, consulting and enterprise software, a New York address and a New York company can feel like the natural way to signal seriousness to American clients. Many Indian IT firms also have clients headquartered in Manhattan.
An Indian resident can register a New York LLC or corporation from India. But New York has a requirement no other popular state has, newspaper publication for new LLCs, and its state and city taxes apply when the business really operates there. This guide explains when New York is worth it and what it costs.
Short answer: with UCB, a New York LLC with EIN costs $374 all-in, plus publication: within 120 days of formation, a New York LLC must publish a notice in two newspapers chosen by the county clerk for six weeks and file proof with the state ($50 state fee). Publication costs from a few hundred dollars in some counties to $1,400 or more in Manhattan, so we quote it separately. After that, New York is cheap to keep: a $9 biennial statement every two years. Choose New York if you will have an office, staff or real presence there; for an online or service business run from India, a Wyoming LLC at $249 serves New York clients just as well. Startups raising money usually want Delaware, not New York.
Who should register in New York from India
New York suits businesses that will genuinely be there: a Manhattan office or co-working desk, US employees in New York, a fashion showroom, a restaurant or retail location, or a founder relocating to New York with immigration advice.
New York is usually not needed to work for New York clients from India. A company in any state can contract with New York clients, and clients care about the contract and the bank account, not the state of formation. Investors raising venture rounds expect a Delaware corporation; if it later opens a New York office, the Delaware company registers in New York.
| New York | Wyoming | Delaware | |
|---|---|---|---|
| LLC with EIN, all-in with UCB | $374 + publication | $249 | $309 |
| Keeping an LLC active each year | $93 | $121 | $523 |
| Special requirement | LLC publication within 120 days | None | $400 LLC annual tax |
| Best for | Real New York presence | Online and service businesses from India | Startups raising investment |
Publication, explained
New York requires every new LLC to publish a notice of its formation in two newspapers, one daily and one weekly, designated by the county clerk of the county in the LLC's address, once a week for six weeks, within 120 days of formation, and then to file a certificate of publication with the state. An LLC that does not complete publication has its authority to carry on business suspended until it does. The cost depends on the county; Manhattan is the most expensive. We arrange it and quote it separately. See the New York LLC guide.
Taxes when the business is in New York
A New York LLC run entirely from India, with no New York presence, usually has no New York State or New York City income tax. Once the business operates in New York, with an office or staff, New York State and, in the city, New York City taxes apply, and payroll, sales tax and other registrations follow. These are state and city filings that need a New York accountant; we refer you. See state taxes for a foreign-owned LLC.
At the federal level, a single-member LLC run from India usually owes no US federal income tax without a US presence, but files Form 5472 every year (penalty $25,000). A New York office changes that. See effectively connected income explained.
Costs, documents and the Indian side
| With UCB | |

| New York corporation with EIN, all-in | $299 |

You need your passport, Indian address, proof of address, two or three company names and a business description. No SSN or US visit is needed. Worked examples
These are illustrative examples, not client cases.
Example 1: the Manhattan consulting desk. A Bengaluru consulting firm places two staff in a New York co-working space. A New York company, or a Delaware company registered in New York, makes sense; New York State and City taxes apply to that office, and a New York accountant handles them.
Example 2: the remote IT contractor. A Chennai developer working for a New York bank's vendor wants a New York LLC. With no New York presence, a Wyoming LLC avoids publication and costs less; the client contracts with it just the same.
Example 3: the fashion label. A Delhi designer opening a New York showroom forms a New York LLC and completes publication within 120 days.
Common mistakes
- Forming in New York without budgeting for publication.
- Missing the 120-day publication deadline.
- Choosing New York "for credibility" when the business is run from India.
- Forming a New York LLC for a startup that investors will want in Delaware.
