Can a Foreigner Be a Member or Manager of a US LLC?

Yes. Non-US citizens can own and manage a US LLC. Member vs manager roles, signing authority, what banks check, and what immigration rules mean if you want to work in the USA.

One of the most common worries among international founders is whether US law actually lets them own or run an American company. The answer is clear: yes. There is no citizenship, residency or visa requirement to own or manage a US LLC in any state.

This guide explains the roles, who signs for the company, and where immigration rules do come in.

Ownership: members

The owners of an LLC are called members. A member can be:

  • an individual of any nationality, living anywhere,
  • a foreign company, such as your existing business at home, or
  • another US company.

There is no minimum or maximum number of members, and a foreign individual can own 100% of an LLC. Ownership percentages are set out in the operating agreement.

Management: member-managed or manager-managed

An LLC is run in one of two ways:

  • Member-managed: the owners run the company directly. This is the default and the most common choice for small LLCs.
  • Manager-managed: the owners appoint one or more managers to run it. Managers can be members or outsiders. Useful when some owners are passive investors.

A foreigner can be a member, a manager, or both. There is no requirement to appoint a US citizen or resident to any role.

Who signs for the company?

The operating agreement defines who has authority to:

  • sign contracts and invoices,
  • open and operate bank accounts,
  • appoint service providers, and
  • make major decisions such as selling assets or admitting new members.

Banks and payment platforms will want to see that authority clearly, and they will verify the identity of owners above a threshold (often 25%) and of at least one person with control. See KYC for US business banking.

What you do need

Even though nationality does not matter, every LLC needs:

  • a registered agent with a physical address in the formation state. See what a registered agent does,
  • an EIN from the IRS, which non-residents can obtain without an SSN. See EIN for non-residents, and
  • usually a US business address for banks and platforms.

Owning vs working: where immigration comes in

Owning and managing a US company from abroad is one thing. Working in the USA is another.

  • From abroad: you can run your LLC, sign contracts, manage staff and serve clients from your home country with no US visa at all.
  • Visiting the USA: business visitors can generally attend meetings, negotiate contracts and attend conferences, but cannot perform productive work for the company while there.
  • Working in the USA: requires the appropriate visa or work authorisation. Owning the company does not by itself give you that right.

Tax follows activity, not nationality

Your nationality does not determine your US tax. What matters is where and how the business operates. An LLC run entirely from abroad, with no US office, staff or agents, often has no effectively connected income. Once you or your staff work in the USA, that can change. Will my name be public? In states such as Wyoming and New Mexico, members are not required in the public formation filing. Banks and the IRS still know who you are.
