What Is a Registered Agent and Why Does Your US Company Need One?
Every US LLC and corporation must have a registered agent. What the agent does, why non-residents need a professional one, how it differs from a business address, and what happens if you lose one.

When you form a US company, the state requires you to name a registered agent. Some states call it a "statutory agent" (Arizona) or "resident agent" (Nevada). For a founder living abroad, the registered agent is not just a formality: it is your company's official link to the state and to the US legal system.
What does a registered agent do?
A registered agent:
- provides a physical street address in the state where the company is formed (not a PO box),
- receives legal documents on the company's behalf, such as lawsuits, subpoenas and other "service of process",
- receives official state mail, including annual report reminders and notices from the Secretary of State, and
- is available during normal business hours to accept documents.
The agent then forwards everything to you promptly.
Why the state requires one
The state needs a reliable, local point of contact where it, and anyone suing the company, can deliver official documents. Without one, legal papers could go unanswered and the state would have no way to reach the company.
Why non-residents need a professional agent
You can act as your own registered agent only if you have a physical address in the state of formation and are available there during business hours. Non-residents usually cannot meet that requirement. A professional registered agent:
- meets the legal requirement from day one,
- forwards documents quickly by scan and email, so you see them wherever you are,
- reminds you of state deadlines, such as annual reports,
- keeps your personal address off public state records, and
- provides continuity if you move.
Registered agent vs business address
These are often confused:

Registered agent vs responsible party vs organiser
- Registered agent: receives legal and state mail in the formation state.
- Organiser/incorporator: signs and files the formation documents.
- Responsible party: the individual who controls the company, for IRS purposes. See EIN responsible party.
A formation service can be your registered agent and organiser. It should not be your responsible party.
What happens if you lose your registered agent?
If the agent resigns or the service lapses and is not replaced:
- the state may send notices that go unanswered,
- the company can fall out of good standing and eventually be administratively dissolved,
- legal papers may be served by alternative means without you knowing, which can lead to default judgments, and
- banks and payment platforms may freeze accounts when they see the company is not in good standing.
Changing your registered agent
You can change your registered agent at any time by filing a short form with the state, usually with a small fee. Make sure the new agent is in place before ending the old service.
Registering in another state
