Nevada LLC for Non-Residents: The Real Yearly Cost, the Business Licence, Privacy Myths and When Nevada Makes Sense

Nevada has been marketed as a business haven for decades. No state corporate income tax, no personal income tax, strong protection for LLC owners, business-friendly courts, and, in older articles, "anonymity". Many founders abroad hear the name alongside Delaware and Wyoming and assume the three are interchangeable.

They are not. Nevada's tax advantages are real, but Wyoming offers the same ones. Nevada's privacy is weaker than its reputation suggests. And Nevada is one of the more expensive states to keep an LLC in, because every Nevada business pays for a state business licence on top of its annual filing.

That does not make Nevada a bad choice. It makes it a specific one. This guide explains who a Nevada LLC suits, what it really costs in the first year and every year after, what the annual list and business licence involve, what appears on the public record, how Nevada's taxes affect a company run from abroad, and what to do if you already have a Nevada LLC that has slipped into default.

Short answer: a Nevada LLC costs $642 all-in with UCB, which includes $425 in state fees: the articles, the initial list of managers or members, and the state business licence. Every year after, it files an annual list ($150) and renews its business licence ($200) by the end of its anniversary month; keeping it active with us is $468 a year. Nevada has no corporate or personal income tax, but neither does Wyoming, at a fraction of the yearly cost. Choose Nevada when the business will operate in Nevada, or when Nevada partners or customers want a Nevada company.

Who a Nevada LLC suits

Nevada makes most sense when the company will have a genuine Nevada connection:

  • Businesses operating in Las Vegas, Henderson or Reno: an office, shop, studio or staff in Nevada means doing business in Nevada, and a Nevada company avoids registering an out-of-state one.
  • Hospitality, events, entertainment and tourism businesses whose customers, venues and partners are in Las Vegas.
  • Logistics and distribution near California. Reno and the surrounding area host many warehouses serving the West Coast. A company with stock in a northern Nevada warehouse is doing business in Nevada.
  • Property investors buying in Nevada, who should hold Nevada property through a Nevada company. See US real estate through an LLC.
  • Holding structures where charging-order protection matters. Nevada law makes a charging order the exclusive remedy for a member's personal creditor, and says so expressly for single-member LLCs too. Wyoming offers similar protection; which is better in a particular case is a question for a lawyer, not a reason in itself to pay Nevada's fees.
  • Founders relocating to Nevada, who avoid registering in a second state later. Visa questions need an immigration lawyer.

Who it does not suit

Nevada is usually poor value for:

  • Freelancers, consultants and remote agencies invoicing US clients from abroad.
  • SaaS, app and digital product businesses with no US presence.
  • Marketplace sellers whose inventory sits in Amazon or Walmart warehouses around the country.
  • Founders choosing Nevada for "anonymity". Nevada lists managers or managing members on a public annual list.
  • Founders on a budget, since Nevada's yearly state charges are several times Wyoming's and New Mexico has none.

If none of the reasons in the first list apply, our state selector and the best state for non-residents will usually point you to Wyoming or New Mexico.

What a Nevada LLC costs

With UCB
Formation, all-in (state fees, first-year registered agent and EIN included)$642
With a US business bank account application$741
Nevada corporation instead of an LLC$972
Time to state approvalAbout 4 business days
Keeping it active each year (annual list, business licence, registered agent)$468 a year
Keeping it active plus the yearly federal tax filing$768 a year

Nevada's formation cost is higher than most states because three things are filed at once:

State charge at formationAmount
Articles of organization$75
Initial list of managers or managing members$150
State business licence$200
Total state fees$425

All three are included in our all-in price; there is nothing added by the state. Every year after, the company pays $350 in state fees: $150 for the annual list and $200 to renew the business licence. Corporations pay more, because their business licence costs $500 a year.

Nevada approves filings quickly, so speed is not a problem. Cost is. Over five years, the difference in state fees between Nevada and Wyoming runs to well over a thousand dollars, and against New Mexico, which has no annual fee, it is larger still. See what a US LLC costs every year and try your own numbers in the US company cost calculator.

The federal side is identical in every state: a foreign-owned single-member LLC files Form 5472 with a pro forma 1120 every year, and a multi-member LLC files a partnership return. Our US tax filing service is $300.

The annual list and the state business licence

Every Nevada LLC files an annual list of its managers, or managing members if it has no managers, with their addresses, by the last day of the month in which it was formed, each year. A company formed in March files by March 31. The state business licence is renewed with the annual list, as one filing.

If either is late, penalties are added: $75 on the annual list and $100 on the business licence. A company that does not file is placed in default. If it is still in default about a year after the deadline, Nevada revokes its charter, and its right to transact business is forfeited. Reinstatement is possible, but costs all the missed fees and penalties plus a reinstatement fee.

There is a separate trap in Nevada's licensing law: knowingly doing business in Nevada without a state business licence can bring a fine of $1,000 to $10,000. That rarely touches a properly maintained LLC, but it is one more reason not to let the licence lapse while the company is still trading.

We file the annual list and licence renewal for you each year as part of keeping your company active, with reminders well before the anniversary month.

Privacy: what Nevada really offers

Older articles describe Nevada as an "anonymous" state. In practice:

  • The articles of organization name the company's registered agent and, depending on how they are prepared, may name managers or members.
  • The initial and annual lists must state the names and addresses of the company's managers or, if there are none, its managing members. These lists are public.

So for a typical single-member LLC managed by its owner, the owner's name appears on the public record from the first day and every year after. The address given can be a business address rather than your home: our US business address add-on ($60 a year) gives the company its own US address, and our own US office is in Henderson, Nevada.

Some providers offer "nominee managers" to keep owners' names off the list. We do not recommend it: banks, payment platforms and the IRS all require the real owner, and a mismatch between the state record and your own documents is a common cause of account reviews.

If privacy from the public is your priority, Wyoming and New Mexico do not require members or managers on the formation document at all, and New Mexico has no annual report.

Nevada taxes for a business run from abroad

No corporate or personal income tax

Nevada has no corporate income tax and no personal income tax. A Nevada LLC pays no Nevada tax on its profits, and its owner pays none on their share. The same is true in Wyoming, so this is not a reason to prefer Nevada on its own.

The Commerce Tax

Nevada does have a Commerce Tax on businesses with Nevada gross revenue above $4 million in a fiscal year (July 1 to June 30). Businesses at or below $4 million are exempt from filing. Where it applies, the return is due 45 days after the fiscal year ends: for the year to June 30, 2026, it was due on August 14, 2026. Almost no small foreign-owned LLC reaches this level, but an importer or distributor with large Nevada sales should keep an eye on it.

Payroll tax

A company employing staff in Nevada pays a payroll-based Modified Business Tax as well as federal payroll taxes and state unemployment contributions. Payroll is not a service we provide; a US payroll provider handles it. See hiring in the USA as a non-resident company.

Sales tax

Nevada charges sales tax on most goods. A business with a physical presence in Nevada, such as a shop, warehouse or staff, must register from its first sale. A remote seller with no Nevada presence must register once it makes more than $100,000 in retail sales into Nevada, or 200 or more separate retail transactions, in the current or previous calendar year. Sales through a marketplace that collects Nevada tax are collected by the marketplace. Sales tax registration and returns are not part of our services; ask us and we will point you in the right direction. See state taxes for foreign-owned LLCs.

Federal tax: the same as anywhere

A Nevada LLC run entirely from abroad is in the same federal position as a Wyoming one: whether its profit is taxed depends on whether it is effectively connected with a US trade or business. A Las Vegas office with staff almost certainly creates effectively connected income. See effectively connected income explained.

The honest summary: for a business with no Nevada presence, Wyoming gives the same tax result, similar owner protection, better privacy and a much lower yearly bill. Nevada earns its place when the business is physically in Nevada, because then a Wyoming LLC would have to register in Nevada as a foreign LLC, pay Nevada's annual list and business licence anyway, and keep two registered agents.

LLC or corporation in Nevada?

A Nevada corporation ($972 with UCB) has the same tax advantages at state level but a higher yearly cost, because its business licence is $500 a year. Some founders choose a Nevada corporation for a US subsidiary of their home-country company with operations in Nevada. If you will raise money from US venture investors, a Delaware corporation is the standard. See LLC vs Inc for non-residents and US C-Corporation for non-residents.

Banking and payment platforms

Nevada LLCs are familiar to US banks and fintechs. Approval depends on the business and the owner, not the state: a specific business description, a working website, matching details across the state record, EIN letter and bank application, and a clear source of funds. Two Nevada points:

  • Keep the annual list current. A company in default or revoked status can fail a bank's or platform's check and trigger a freeze.
  • Make sure the names match. The manager listed on the annual list should be the person the bank verifies. Nominee arrangements cause exactly the mismatch reviewers look for.

If you already own a Nevada LLC

Keeping it compliant

A Nevada LLC in good standing needs a registered agent in Nevada, the annual list and business licence filed by the end of each anniversary month, and the federal return filed every year. Update the list when managers change, and keep your operating agreement current.

You missed the anniversary month

The company is in default. File the annual list and licence renewal with the $75 and $100 penalties as soon as possible. Until revocation, putting it right is simple.

The company has been revoked

A revoked Nevada LLC can be reinstated by filing the missed lists and licence renewals, paying all the fees and penalties and a reinstatement fee. Once reinstated, it continues as the same company. See reinstating a dissolved US LLC. We help non-residents with Nevada reinstatements: we check the record, confirm the exact state cost, file the reinstatement and take over as registered agent if needed. We also check the federal side, because a company that missed its Nevada list has often missed its Form 5472 too, and that penalty starts at $25,000 per return. See missed US tax filings: what to do and Form 5472 explained.

You are paying for Nevada and do not need it

Many owners formed a Nevada LLC years ago because a website recommended it, and now pay $350 a year in state fees for a business that has nothing to do with Nevada. There are two clean options:

  • Keep it, if its bank accounts, contracts and platform history are valuable and the yearly cost is acceptable.
  • Close it properly and form fresh in a cheaper state, moving the business across before the Nevada company is dissolved. Our company closure service ($249) handles the state and federal steps.

Moving the same company to another state is also possible in some cases; ask us and we will tell you honestly which route makes sense for your situation.

Worked examples

These are illustrative examples, not client cases.

Example 1: the events company. An events production business in Mumbai wins regular work at Las Vegas trade shows and plans to hire a small local crew and rent storage in Henderson. The company will operate in Nevada. Recommendation: Nevada LLC, with payroll through a US provider.

Example 2: the online course creator. A creator in Dhaka read that Nevada is a "tax haven" for online businesses. Her business has no US presence. Nevada would cost her far more each year than Wyoming, for the same zero state tax and less privacy. Recommendation: Wyoming or New Mexico.

Example 3: the Reno warehouse. A consumer electronics brand owned by founders in Shenzhen and Singapore wants a warehouse near Reno to serve West Coast customers. Recommendation: Nevada LLC; sales tax registration from the first sale because stock is held in Nevada; check Commerce Tax once Nevada revenue approaches $4 million.

Example 4: the forgotten Nevada LLC. A consultant in Abuja formed a Nevada LLC in 2021, stopped using it in 2023 and stopped filing. It has been revoked, and a client now wants to pay an old invoice into the company's US account. Recommendation: decide first whether the company is needed. If it is, reinstate it and bring federal filings up to date; if not, close it properly and form a cheaper company for future work.

Common mistakes with Nevada LLCs

  1. Choosing Nevada for "no income tax" when Wyoming offers the same at a lower yearly cost.
  2. Believing Nevada is anonymous. Managers appear on the annual list.
  3. Forgetting the business licence and paying two sets of penalties.
  4. Using nominee managers, then failing bank verification.
  5. Letting a company drift into revocation instead of closing it.
  6. Assuming the state handles federal filings. Form 5472 is due every year.

How UCB helps

We form Nevada LLCs and corporations for non-residents remotely, all-in: articles, initial list, state business licence, first-year registered agent and EIN are included in $642, with nothing added by the state. We can add a US business bank account application, an ITIN ($249), a US business address or a virtual office. Each year, for $468, we file the annual list and business licence renewal and renew the registered agent, and with our US tax filing service we prepare and file the federal return. For existing Nevada LLCs, we handle defaults, reinstatement and closures. For sales tax, Commerce Tax and payroll, we will refer you to Nevada specialists. If Nevada does not fit your business, we will tell you, and recommend a state free of charge. See Nevada company formation.
