US Company Formation from Armenia (2026): US LLC or C-Corp for Yerevan Tech Teams and the Diaspora, Armenian Tax, Micro-Business Limits and the Treaty Question

Armenia's technology sector punches far above the country's size. Picsart, Krisp and a long list of smaller companies were built by Armenian teams for global markets, and many of them sit under a Delaware parent. Yerevan's developers, designers and QA engineers work for US clients every day. The diaspora, centred on Los Angeles and Glendale but present across the USA, keeps business ties running in both directions. Since 2022, Armenia has also absorbed a wave of foreign tech workers who relocated their work there.

A US company can be formed from Armenia without travelling. This guide covers the Armenian side (flat-rate income tax, the 5% dividend tax, and the limits of the micro-business and turnover regimes), the unusual treaty position with the USA, and the choice between US LLC formation and US C-Corp formation.

In short: Armenian citizens and residents can own 100% of a US LLC or C-Corporation, formed remotely. Armenia taxes residents on worldwide income, at a flat 20% personal income tax, with dividends at 5%. Small businesses can use the micro-business regime (turnover up to AMD 24 million a year) or a turnover tax, but consulting, legal, accounting and similar services are excluded. The USA treats the 1973 US–USSR treaty as still applying to Armenia. It generally exempts interest and royalties from US withholding, but dividends stay at 30%. Most Armenian start-ups raising money use a Delaware C-Corporation with an Armenian subsidiary. With UCB, a Wyoming LLC with EIN is $249 and a Delaware corporation with EIN is $358, all-in.

Who can form a US company from Armenia

US states do not limit company ownership by nationality or residence. An Armenian citizen in Yerevan or Gyumri, a foreign national living in Armenia, an Armenian LLC (ՍՊԸ) or an individual entrepreneur can own a US company in full, and a sole owner can also be its only manager. No US visa, SSN, US address or trip is needed. The company needs a registered agent in its state, which is included for the first year in every UCB formation (see registered agent explained), and an EIN, which foreign owners get without an SSN or ITIN (see EIN for non-residents).

For identity, use your passport. An Armenian ID card alone is not accepted by US banks. Armenian surnames are romanised in several ways (Hovhannisyan, Ovanesyan, Hovannisian). Use exactly the spelling in your passport. For proof of address, a utility bill or bank statement, translated into English.

How Armenia taxes income connected to a US company

Armenian residents are those with 183 days or more in Armenia in a year, or whose centre of vital interests is in Armenia. They are taxed on worldwide income:

  • Personal income tax is a flat 20% on salaries and on business income of individual entrepreneurs taxed under the general regime.
  • Dividends are taxed at 5%.
  • Foreign tax paid on foreign income can be credited, within limits.

Micro-business and turnover regimes. Small businesses with turnover up to AMD 24 million a year can register as micro-businesses, with very low tax. Above that, a turnover tax applies, at rates that depend on the activity. Both regimes exclude several service activities, including consulting, legal, accounting and audit services. Whether your activity qualifies depends on its classification. There has been political discussion of raising the micro-business limit, but at the time of writing it had not been enacted.

The IT certificate regime, which once gave Armenian start-ups reduced income tax on salaries and no profit tax, has closed to new entrants. Companies relying on it should check their remaining benefits with their adviser.

For an Armenian resident who owns a US company:

  • Income for work you perform in Armenia is Armenian income, whichever company invoices it.
  • Dividends or distributions from the US company are foreign income, taxed in Armenia (5% for dividends) with a credit for any US withholding.

The treaty question

Armenia and the USA have not signed a modern income tax treaty. The USA treats the 1973 convention with the Soviet Union as still applying to Armenia. Armenia has at times said it does not consider itself bound by the old Soviet treaties, so confirm the position for your specific income with a US tax adviser before relying on it. As the IRS applies it:

  • Interest and royalties from the USA to a resident of Armenia are generally exempt from US withholding.
  • Dividends are not covered, so US corporate dividends carry 30%.
  • Business profits are taxed in the USA only through a permanent establishment.

US LLC formation from Armenia

The US side

A US LLC with a single non-resident owner is not a separate taxpayer for the IRS. Its income is treated as the owner's. With the work done in Armenia, and no office, employees or contract-signing agents in the USA, the income is generally not connected with a US trade or business, and no US income tax is due (see effectively connected income explained). There is no corporate dividend, so the 30% rate does not come into play. The LLC must file Form 5472 with a pro forma Form 1120 every year, and missing it costs $25,000 (see Form 5472 explained).

A dram example

These are illustrative figures, not a client case, at AMD 385 to the dollar.

Tigran is a backend developer in Yerevan who works for two US start-ups. Both prefer to pay a US vendor by ACH. He forms a Wyoming LLC, and the LLC invoices US$84,000 a year.

His Armenian individual entrepreneurship invoices the LLC US$80,000 for his development work, about AMD 30.8 million. That is above the micro-business ceiling, so his accountant applies the regime that fits his turnover and activity, and the income is taxed in Armenia. The LLC keeps US$4,000 for US tools and services.

In the USA, the LLC files Form 5472 and a pro forma 1120 and owes no income tax. The LLC gave Tigran faster payments and a US counterparty. His Armenian tax is the same as it would have been without it.

US C-Corp formation from Armenia

The US side

A C-Corporation pays federal tax of 21% on its own profits, plus state tax where it does business, and files Form 1120 and Form 5472 each year (see the 21% corporate tax explained and the C-Corp guide for non-residents). Its dividends to Armenia are withheld at 30%.

The Armenian start-up model

The structure most Armenian tech companies use is:

  • A Delaware C-Corporation as the parent, which raises money, owns the IP and signs customer contracts.
  • An Armenian LLC subsidiary that employs the engineers and is paid for development at cost plus a margin. It pays Armenian profit tax on that margin, and its employees pay 20% personal income tax.
  • No regular dividends to Armenia. Founders and investors are rewarded through the value of their Delaware shares.

This is the model behind many of the best-known Armenian success stories. Its weak points are usually the paperwork: intercompany agreements, transfer pricing documentation and clear IP assignments from the Armenian team to the Delaware company. Investors check them in due diligence. See raising US investment as a foreign founder and US subsidiary for a foreign company.

The diaspora

Many US companies with Armenian owners also have owners in Glendale, Burbank, Watertown or elsewhere in the USA. Where some owners are US citizens or green card holders:

  • US owners pay US tax on their shares.
  • A multi-member LLC files Form 1065.
  • Withholding applies to the Armenian partner's share of any US business income.
  • State registration. A business with premises in California must be registered there and pays California's minimum $800 franchise tax.

See single-member vs multi-member LLC and California LLC for non-residents.

Foreign residents of Armenia

Armenia now has many foreign residents working remotely. Armenian tax residence follows the 183-day and centre-of-interests tests, whatever your nationality. Your home country may still consider you resident. US banks also look at nationality: holders of passports from countries under broad US sanctions face restrictions from many US banks and fintechs even while living in Armenia.

Which state

  • Wyoming or New Mexico for a contracting LLC run from Armenia.
  • Delaware for any corporation that will raise investment.
  • California for diaspora businesses operating there.

See best state for non-residents and the state selector.

What it costs

With UCB
Wyoming LLC with EIN$249
Wyoming LLC with EIN and US bank application$348
Delaware corporation with EIN$358
California LLC with EIN$249
Wyoming LLC renewal, per year$121
Delaware corporation renewal, per year$578

Formation prices include state fees and the first year of registered agent service. A US business address with your own suite number is $60 a year. See what a US LLC costs every year.

Banking

US banks and fintechs generally accept Armenian residents and citizens, after due diligence. What helps:

  • A specific business description.
  • An English website.
  • Consistent name spelling across all documents.
  • A US business address with your own suite number.

Armenian banks such as Ameriabank, Ardshinbank and ACBA receive US-dollar wires routinely. Keep the intercompany agreement and invoices to hand. See US business bank accounts for non-residents, why banks reject non-resident applications and Stripe for non-residents.

Common mistakes

  • Assuming a consulting business can use the micro-business regime. Consulting and similar services are excluded.
  • Treating income for work done in Armenia as foreign income because a US LLC invoiced it.
  • Assuming the treaty cuts dividend withholding. It does not; dividends stay at 30%.
  • Weak IP assignments from an Armenian team to a Delaware parent.
  • Missing Form 5472 in a year when no US tax was due.
