US Company Formation from Azerbaijan (2026): US LLC or C-Corp, the 2026 Income Tax Changes, Startup Certificates, the Treaty Question and Bank Screening
How to set up a US company from Azerbaijan: how Azerbaijan taxes residents' worldwide income after the 2026 changes, dividends from foreign companies, the startup certificate, the 1973 US–USSR treaty the IRS applies, US LLC formation vs US C-Corp formation, oil-and-gas services and logistics firms, sanctions screening, manat examples, costs.

Azerbaijan's economy has long been built on oil and gas, and its international business community still centres on energy services in Baku. That is changing. The government is pushing digital and innovation companies with startup incentives, Baku is positioning itself as a logistics hub on the Middle Corridor between China and Europe, and Azerbaijani developers increasingly sell to clients abroad. For all three groups, a US company can help: a US contracting entity, a US subsidiary, or a Delaware parent for investors. It can be formed from Azerbaijan remotely.
The Azerbaijani side needs care. Personal income tax rules for the private sector changed in 2026, residents are taxed on worldwide income, and the treaty position with the USA is unusual. US banks also screen Azerbaijani applicants carefully, because of the country's neighbours. This guide covers all of this, then compares US LLC formation and US C-Corp formation.
In short: Azerbaijani citizens and residents can own 100% of a US LLC or C-Corporation, formed remotely. Azerbaijan taxes residents on worldwide income. The 2019–2025 exemption for private non-oil sector salaries ended, and phased rates apply from 2026. Dividends from foreign companies to residents are taxed at a reduced rate under recent changes, so confirm the current figure. Holders of a startup certificate can be exempt from income or profit tax on qualifying innovation income for three years. The IRS treats the 1973 US–USSR treaty as applying to Azerbaijan, which generally exempts interest and royalties but leaves US dividend withholding at 30%. Azerbaijan has at times said it does not recognise the old Soviet treaties, so confirm the position for your income. With UCB, a Wyoming LLC with EIN is $249 and a Delaware corporation with EIN is $358, all-in.
Who can form a US company from Azerbaijan
Nationality and residence do not matter to US states. An Azerbaijani citizen, a foreign national living in Baku, or an Azerbaijani company (an MMC) can own all of a US LLC or corporation, and an individual owner can manage it alone. No US visa, SSN, US address or trip is needed. The company's registered agent, required in its state, is included for the first year in every UCB formation (see registered agent explained). The IRS issues its EIN without an SSN or ITIN (see EIN for non-residents).
For identity, use your passport. The Azerbaijani ID card is not accepted by US banks on its own. Use the Latin spelling in your passport, which may differ from the Azerbaijani-alphabet spelling (Məmmədov, Mammadov, Mamedov), on every document. For proof of address, use a utility bill (Azərişıq, Azərsu, Azeriqaz) or a bank statement, translated.
How Azerbaijan taxes a US company and its owner
Azerbaijani tax residents are taxed on income from all sources. The main points for a founder:
- Salaries in the private non-oil sector. These were exempt up to AZN 8,000 a month from 2019 to 2025. From 2026, a phased schedule applies, starting with a low rate on monthly income up to AZN 2,500 that rises in 2027 and 2028, and higher rates above.
- Business income of individual entrepreneurs is taxed under the general regime or a simplified tax on turnover, depending on the activity and turnover.
- Dividends from foreign companies received by residents were taxed at the ordinary rate. Recent changes reduced the rate, but the exact figure has been reported differently, so confirm it with your adviser.
- Companies pay profit tax at 20%, and dividends they pay carry withholding.
Startup certificate. Companies and entrepreneurs recognised as startups by the Innovation and Digital Development Agency can be exempt from profit or income tax on income from innovation activities for three years. A founder with a startup certificate who also forms a US company should structure it so that the qualifying activity, and its income, stays with the certified Azerbaijani entity.
For an owner of a US company, as in most countries:
- Work you do in Azerbaijan is Azerbaijani income, whichever company invoices it.
- Dividends or distributions from the US company are foreign income, taxed in Azerbaijan with a credit for any US tax.
The treaty question
The USA and Azerbaijan have not signed a modern income tax treaty. The IRS treats the 1973 convention with the Soviet Union as continuing to apply to Azerbaijan. On that basis:
- interest and royalties from the USA to a resident of Azerbaijan are generally exempt from US withholding;
- dividends are not covered, so US corporate dividends are withheld at 30%;
- business profits are taxed in the USA only through a permanent establishment.
Azerbaijan has said in the past that it does not consider itself bound by Soviet-era treaties. That uncertainty matters mostly for royalties and interest. If you plan to rely on the exemption, take US tax advice and document your treaty claim carefully on Form W-8BEN or W-8BEN-E (see W-8BEN-E vs W-8BEN).
Bank and export screening
Azerbaijan borders Russia and Iran, both under broad US sanctions. US banks and suppliers therefore look carefully at Azerbaijani companies that trade physical goods or handle logistics, checking for any link to sanctioned parties or for re-exports. Software and professional services businesses are treated very differently from trading companies. If your US company will buy US goods for shipment to the region, expect US export-control screening of your customers and end users, and use a freight forwarder that handles compliance.
US LLC formation from Azerbaijan
US tax treatment
To the IRS, a single-member LLC with a non-resident owner is not a separate taxpayer. Its income is reported as the owner's. With all the work done in Azerbaijan, and nobody in the USA working for the LLC or concluding contracts for it, that income is generally not connected with a US trade or business, and the IRS collects no income tax (see effectively connected income explained). Distributions are not dividends, so the treaty's missing dividend relief does not matter. The LLC must file Form 5472 with a pro forma Form 1120 every year, and missing it costs $25,000 (see Form 5472 explained).
A manat example
These are illustrative figures, not a client case, at AZN 1.70 to the dollar.
Leyla is a product analyst in Baku whose clients are US fintech start-ups. She forms a Wyoming LLC so they can pay a US vendor, and it bills US$72,000 a year. She is registered in Azerbaijan as an individual entrepreneur. Her entrepreneurship invoices the LLC US$68,000 for her work, about AZN 115,600, and reports it under the regime that fits her turnover. The LLC keeps US$4,000 for US software.
In the USA, the LLC files Form 5472 and a pro forma 1120 and owes no income tax. In Azerbaijan, the income is taxed where the work is done. The LLC gave her clients a US counterparty and gave her a US account.
US C-Corp formation from Azerbaijan
US tax treatment
A US corporation pays 21% federal tax on its own profits, plus state tax where it operates, and files Form 1120 and Form 5472 each year (see the 21% corporate tax explained and the C-Corp guide for non-residents). Dividends to Azerbaijan are withheld at 30%.
When it fits
- Energy services companies with US operations. Take an illustrative case: an Azerbaijani pipeline-inspection firm sets up a Texas corporation to bid for Gulf Coast work, with US technicians and a Houston office. The US company owes US tax on its US profits, and should be a corporation rather than a disregarded LLC owned by the Azerbaijani company. See Texas LLC for non-residents and US subsidiary for a foreign company.
- Start-ups raising investment. Investors require a Delaware C-Corporation, with the Azerbaijani team in a local subsidiary, which may hold a startup certificate (see raising US investment as a foreign founder).
- Logistics and trading firms that need a US entity to contract with US shippers, with the export-control caveats above.
Which state
- Wyoming or New Mexico for a contracting LLC run from Azerbaijan.
- Delaware for any corporation raising investment.
- Texas for energy services with a Houston presence.
See best state for non-residents and the state selector.
What it costs
UCB's formation prices include state fees and the first year of registered agent service:
- A Wyoming LLC with EIN is $249, or $348 with a US bank account application.
- A Texas LLC with EIN is $504.
- A Delaware corporation with EIN is $358.
A Wyoming LLC costs $121 a year to keep active, or $421 including the annual federal return. A US business address with your own suite number is $60 a year. See what a US LLC costs every year.
Banking
US banks and fintechs accept Azerbaijani owners for services businesses after enhanced checks. What helps:
- A specific business description.
- An English website.
- A clear list of customers and suppliers.
- Matching name spellings across documents.
- A US business address with your own suite number.
Transfers from the US account to Azerbaijani banks such as Kapital Bank, PASHA Bank or ABB are ordinary international wires. Expect the receiving bank to ask about the source of regular incoming payments. See US business bank accounts for non-residents, why banks reject non-resident applications and Stripe for non-residents.
Common mistakes
- Moving startup-certificate activity into the US company, losing the Azerbaijani exemption on it.
- Assuming the old treaty cuts dividend withholding. It does not; dividends stay at 30%.
- Relying on the royalty exemption without US advice, given Azerbaijan's position on Soviet-era treaties.
- Trading physical goods without export-control and sanctions screening.
- Missing Form 5472 in a year when no US tax was due.
Frequently asked questions
Can an Azerbaijani citizen own 100% of a US company? Yes, without visiting the USA or holding a US visa.
How does Azerbaijan tax income from my US company? Residents are taxed on worldwide income. Income for work done in Azerbaijan is Azerbaijani income. Dividends from foreign companies are taxed at the rate currently set for them, with a credit for US tax.
Is there a US–Azerbaijan tax treaty? The IRS applies the 1973 US–USSR treaty, which generally exempts interest and royalties from US withholding but not dividends. Azerbaijan's acceptance of it is uncertain, so take advice before relying on it.
Does my US LLC pay US tax? Not if it has no US office, staff or agents. It files Form 5472 and a pro forma 1120 every year.
