Annual Requirements for a Foreign-Owned US LLC: A Yearly Checklist

The yearly compliance checklist for non-resident LLC owners: state reports and taxes, registered agent, federal returns, bank KYC, bookkeeping and key deadlines, in one place.

Forming your LLC takes a few days. Keeping it in good standing is a yearly job, and it is what protects your limited liability, your bank account and your payment platforms. Most problems we fix for foreign owners come from one missed item on this list.

1. State annual report or tax

Most states require an annual or biennial report and fee to keep the company active:

Missing it leads to late fees and, eventually, administrative dissolution, which can freeze your bank account and payment platforms. Reinstatement is possible but costs more than staying current.

2. Registered agent renewal

Every LLC must keep a registered agent in its formation state. If the agent's service lapses, the state can't reach the company, and the company can fall out of good standing. See what a registered agent does.

4. Other federal forms, if they apply

5. Other states, if you have activity there

If the LLC has an office, staff or inventory in another state, it may need to register there and file that state's returns. Sales tax returns are due wherever you are registered. See state taxes.

6. Bookkeeping

Keep simple, monthly records:

  • all bank and platform statements,
  • invoices for income and expenses,
  • a log of money moving between you and the LLC (contributions, distributions, loans, expenses you paid personally),
  • contractor forms (W-9, W-8).

7. Keep information current

Update the IRS, the state, your bank and payment platforms when your address, ownership or business changes. Respond promptly to bank KYC refresh requests. See how to avoid a bank account closure.

8. Review your operating agreement

Make sure it reflects current ownership and management, especially after adding or removing members. See why your operating agreement matters.

9. Decide whether you still need the company

An unused LLC still owes state fees and federal filings every year until it is dissolved. If you no longer need it, close it properly. See the company closure service.
