US Company Formation from the UAE (2026): LLC or Corporation, No Tax Treaty, UAE Corporate Tax, Costs and Banking for Founders in Dubai and Abu Dhabi

Forming a US LLC or corporation from Dubai or Abu Dhabi: no US–UAE tax treaty, UAE corporate tax and the AED 1 million rule, costs, documents and banking.

US Company Formation from the UAE (2026): LLC or Corporation, No Tax Treaty, UAE Corporate Tax, Costs and Banking for Founders in Dubai and Abu Dhabi

The UAE is one of the easiest places in the world to run a business from, and many founders in Dubai, Abu Dhabi and Sharjah already have a free zone or mainland company. So why do so many of them also form a company in the USA? Usually for one of four reasons: US customers who prefer to pay a US company, Stripe and US payment platforms with a full feature set, Amazon.com and US marketplaces, or US investors who invest only in US companies.

The US side of forming a company is the same for a UAE resident as for anyone else. What is different is the tax picture: the UAE has no income tax treaty with the USA, the UAE now has a corporate tax, and many UAE residents are nationals of another country whose rules may also matter. This guide explains how US company formation from the UAE works, which structure usually suits UAE residents, what it costs and what to watch for.

Short answer: a UAE resident of any nationality can own 100% of a US LLC or corporation, formed remotely without a US visit or SSN. With UCB, a Wyoming LLC with EIN is $249 all-in, or $348 with a US business bank account application. Because there is no US–UAE tax treaty, a US corporation's dividends to a UAE owner face 30% US withholding, so a US LLC is usually more efficient for UAE-resident freelancers, agencies and sellers; startups raising from US investors still use a Delaware C-Corporation. A single-member LLC run entirely from the UAE often owes no US income tax but files Form 5472 every year. On the UAE side, an individual's business income is within UAE corporate tax only above AED 1 million of turnover a year, and a UAE company that owns or works with the US company has its own position to check.

Can a UAE resident own a US company?

Yes. US states do not restrict ownership by nationality or residence. A UAE resident, whether an Emirati citizen or an expatriate from India, Pakistan, the UK, Egypt or anywhere else, can:

  • own 100% of a US LLC or corporation;
  • be its only manager, director and officer;
  • form it remotely, with a passport, and no US visa, SSN or US address.

Every US company needs a registered agent in its state, which UCB provides for the first year in every formation. See registered agent explained and open a US company without visiting.

Why UAE founders form a US company

  • Payments. Stripe's full product range, US payment links and subscription billing are available to a US company with a US bank account.
  • US clients. Many US companies prefer, or require, a US vendor with a US bank account for ACH payments. See receiving payments from US clients.
  • Amazon.com and US marketplaces. A US company with a US bank account simplifies seller registration and payouts. See US LLC for e-commerce sellers.
  • Investors. US venture investors invest in Delaware corporations. See raising US investment as a foreign founder.
  • A second base. Some founders keep their UAE company for the region and use a US company for American customers.

The tax picture for UAE residents

No US–UAE income tax treaty

The UAE has a large treaty network, but not with the USA. That has three practical effects:

  • Dividends from a US corporation to a UAE-resident shareholder are withheld at the full 30%, with no treaty reduction.
  • There is no treaty "permanent establishment" protection. Whether a UAE resident's US business is taxed in the USA depends only on US domestic rules: whether the income is effectively connected with a US trade or business.
  • The W-8BEN a UAE resident gives to US payers cannot claim treaty benefits.

Why an LLC usually suits UAE residents

A single-member US LLC owned by a non-resident is ignored for US income tax. If the owner does all the work from the UAE, with no US office, employees or dependent agents, the income is usually not effectively connected with a US business, and no US federal income tax is due. The LLC still files Form 5472 with a pro forma Form 1120 every year, with a $25,000 penalty if it is missed. See effectively connected income explained and Form 5472 explained.

A C-Corporation, by contrast, pays 21% US federal tax on its profits wherever its people work, and its dividends to a UAE owner are then withheld at 30%. For a UAE resident who takes profits out regularly, that combination is expensive. A corporation still makes sense when investors require it, or when profits will be reinvested in the US business. See LLC vs Inc for non-residents and the 21% corporate tax explained.

UAE corporate tax

The UAE introduced a federal corporate tax for financial years starting on or after 1 June 2023, at 0% on taxable income up to AED 375,000 and 9% above that. How it affects you depends on how you hold the US company:

  • You personally own the US LLC. Under Cabinet Decision No. 49 of 2023, an individual's business income is within UAE corporate tax only if the individual's combined business turnover exceeds AED 1 million in a calendar year. Employment income and personal investment income are outside it. If your US company's activity, run from the UAE, is treated as your business, its turnover counts towards that threshold.
  • Your UAE company owns the US company, or does the work. The UAE company is taxed on its own income under the corporate tax rules, and dealings between the UAE company and the US company need to be priced and documented.

How the UAE treats a US LLC that the IRS ignores is a question for a UAE tax adviser. We set up the US side; your UAE adviser confirms the UAE side.

If you are a national of another country

Many UAE residents are citizens of India, Pakistan, the UK, Egypt or elsewhere. Your home country's rules may still matter: some countries tax citizens or former residents, and residence for tax depends on days spent and ties, not only on a UAE residence visa. Indians who are non-residents under Indian rules are generally outside India's overseas investment (ODI) rules for personal investments, but your Indian residential status should be confirmed each year by your CA. US citizens and green card holders living in the UAE are a different case altogether: they are US taxpayers, and a US company is taxed differently for them. Tell us if this applies to you.

Emirates ID and UAE residence visaBanks and payment platforms often ask for proof of UAE residence
Proof of UAE addressA recent utility bill (for example DEWA or ADDC), tenancy contract or bank statement

No SSN, ITIN or US address is needed. See EIN for non-residents.

Banking and payments from the UAE

US banks and fintechs accept applications from UAE residents, but review them carefully, especially for trading, crypto and cross-border flows. What helps:

  • a clear, specific business description and a working website;
  • consistent details across the state record, EIN letter and bank application;
  • a US business address with your own suite number rather than the registered agent's address;
  • telling the bank both your nationality and your residence, since both affect eligibility.

See US business bank accounts for non-residents, why banks reject non-resident applications and Stripe for non-residents.

Worked examples

These are illustrative examples, not client cases.

Example 1: the Dubai marketing agency owner. An Indian national living in Dubai runs a marketing agency for US clients. They form a Wyoming LLC with a US bank account, invoice US clients from it and do all the work from Dubai. The LLC usually owes no US income tax and files Form 5472 each year. The owner's UAE adviser checks whether the agency's turnover takes them over the AED 1 million threshold.

Example 2: the UAE company's US arm. A Dubai free zone company selling software wants a US entity for US enterprise customers. The free zone company owns a Delaware corporation, which signs US contracts. The US corporation pays US tax on its own profits; the UAE company's adviser documents the pricing between the two companies.

Example 3: the Abu Dhabi startup raising money. Two founders in Abu Dhabi are raising a seed round from US angels. They form a Delaware C-Corporation, accepting that any future dividends would face 30% withholding, because investors require it and profits will be reinvested.

Common mistakes UAE residents make

  • Choosing a C-Corporation for a services business and paying 21% plus 30% on dividends.
  • Assuming "no UAE income tax" means nothing to check. UAE corporate tax and the AED 1 million rule may apply.
  • Claiming treaty benefits on a W-8BEN. There is no US–UAE treaty.
  • Forgetting home-country rules when you are a national of another country.
  • Ignoring Form 5472 because the LLC owes no US tax.
  • Using the registered agent's address on bank applications.

Frequently asked questions

Can I form a US company from Dubai without visiting the USA? Yes. Formation, EIN and bank applications are all remote.

Can my UAE free zone company own the US company? Yes. A UAE company can own a US LLC or corporation. The UAE company's tax adviser should review the structure.

Does a US LLC owned from the UAE pay US tax? Usually not, if all the work is done from the UAE with no US office, staff or agents. It files Form 5472 every year.

Do I need an ITIN? Usually not for a single-member LLC. See what is an ITIN and who needs one.
