US Company Formation from Israel (2026): Delaware C-Corp or LLC, the US–Israel Treaty, How Israel Taxes a US LLC, Costs and Banking
Forming a US company from Israel: why most use a Delaware C-Corp, how Israel taxes a US LLC as a company, the US–Israel treaty, costs and banking.

Israel has one of the world's densest startup ecosystems, and a very large share of Israeli startups are structured with a Delaware parent company, often with an Israeli subsidiary doing the research and development. Israeli founders, freelancers and agencies also use US companies to sell to American customers and use US payment platforms.
For Israeli residents, the choice of structure is driven by tax in both countries more than for most nationalities. Israel generally treats a US LLC as a company, even though the USA treats a single-member LLC as transparent, and that mismatch can lead to double taxation. This guide explains how US company formation from Israel works, why most Israeli founders choose a Delaware C-Corporation, and what to discuss with your Israeli adviser.
Short answer: a resident of Israel can own 100% of a US corporation or LLC, formed remotely. With UCB, a Delaware corporation with EIN is $308 all-in, and a Wyoming LLC with EIN is $249. The USA and Israel have an income tax treaty, which generally reduces US dividend withholding to 25% for individual shareholders and limits US tax on business profits to income attributable to a US permanent establishment. Israel, however, generally treats a US LLC as a company, not a transparent entity, which can lead to double taxation for an Israeli resident who uses an LLC. That is why most Israeli founders use a Delaware C-Corporation, especially when raising investment. Get Israeli tax advice before choosing, because the right answer depends on your activity and how profits will be taken out.
Can a resident of Israel own a US company?
Yes. US states place no restriction on the nationality or residence of owners. Israeli citizens and residents can own 100% of a US LLC or corporation, be its only manager or director, and form it entirely remotely, with no US visa, Social Security number or US address. Every US company needs a registered agent in its state, included for the first year in every UCB formation. See registered agent explained.
Why founders in Israel form a US company
- Investors. US venture investors, and many Israeli funds, invest through Delaware corporations. See raising US investment as a foreign founder.
- US customers and sales teams. A US entity signs US contracts and can employ US staff.
- Payments. US payment platforms and US bank accounts for dollar revenue.
- A US parent for an Israeli company, with the Israeli company working as a subsidiary or service provider. See US subsidiary for a foreign company.
The tax picture for residents of Israel
The US–Israel tax treaty
Israel has an income tax treaty with the USA. Dividends from a US corporation to a resident of Israel can be withheld at a reduced treaty rate, generally 25% for an individual shareholder, instead of the standard 30%, if the owner gives the payer a valid W-8BEN claiming the treaty. The treaty also says business profits are taxable in the USA only through a permanent establishment there. See W-8BEN-E vs W-8BEN explained.
On the US side: LLC or corporation?
| US LLC (single-member) | US C-Corporation | |
|---|---|---|
| US federal tax if all work is done from Israel | Usually none | 21% of profits |
| US tax when profits are paid to the owner | None (not a dividend) | Treaty rate, generally 25% for an individual owner |
| Yearly federal filing | Form 5472 + pro forma 1120 | Form 1120 + Form 5472 |
| Investors | Most will not invest | Standard (Delaware) |
A single-member US LLC owned by a non-resident is ignored for US income tax. If you do all the work from Israel, with no US office, employees or dependent agents, the income is usually not effectively connected with a US trade or business, and no US federal income tax is due. The LLC still files Form 5472 with a pro forma Form 1120 every year, and missing it costs $25,000. A C-Corporation pays 21% on its profits wherever its people work, which suits startups raising US investment and businesses reinvesting in the USA. See effectively connected income explained, Form 5472 explained and LLC vs Inc for non-residents.
For Israeli residents, the US view is only half the picture. Because Israel generally treats a US LLC as a company (see below), the US advantage of an LLC may be lost and the profits taxed again in Israel. That is why the C-Corporation, whose treatment both countries agree on, is the usual choice for Israeli founders.
The Israeli side
Israel taxes its residents on their worldwide income. Three points matter for a US company:
- Classification. Israel does not recognise the LLC as a separate form; the Israel Tax Authority has generally treated a US LLC as a body of persons, in effect a company, and Israeli courts have upheld classifying foreign entities under Israeli law. A US LLC that the IRS ignores can therefore be a taxable company in Israel. A limited relief exists for foreign tax credits, but it does not make the LLC transparent for all purposes.
- Residence of the company. A company managed and controlled from Israel can be treated as an Israeli resident company, whatever its place of formation.
- Controlled foreign company rules can attribute certain undistributed passive profits of a foreign company controlled by Israeli residents.
A Delaware C-Corporation is treated as a company in both countries, which makes planning more predictable. These are matters for an Israeli tax adviser; we handle the US side.
Which US state?
- Delaware: the standard for Israeli startups, especially those raising investment. See Delaware company registration and the US C-Corporation guide.
- Wyoming: for a simple corporation or LLC without investors, at a lower yearly cost. See Wyoming LLC for non-residents.
- New York, California or Texas: when the company will have a real office or staff there. See New York and California.

Documents you need
| Document | Notes |
|---|---|
| Passport | Valid passport, clear colour scan |
| Teudat Zehut (Israeli ID) | Sometimes requested by banks |
| Proof of address in Israel | A recent utility bill or bank statement |
| Company name, business description and share structure | For a corporation, the number of shares and par value; we suggest a startup-standard structure |
| Israeli company documents | If an Israeli company will own, or be owned by, the US company |
No SSN, ITIN or US address is needed to form the company or obtain its EIN. See EIN for non-residents.
Banking and payments
US banks and fintechs work regularly with Israeli founders, particularly startups with a Delaware corporation. Consistent details, a clear business description and a working website help. A US business address with your own suite number is better than the registered agent's address on applications.

Worked examples
These are illustrative examples, not client cases.
Example 1: the seed-stage startup. Two founders in Tel Aviv raising from US investors form a Delaware C-Corporation that will own an Israeli subsidiary doing R&D. Lawyers in both countries document the structure; we incorporate the Delaware company and keep its franchise tax at the minimum.
Example 2: the freelancer who asked for an LLC. An Israeli developer wants a Wyoming LLC for US clients. Because Israel generally treats the LLC as a company, their Israeli adviser compares the LLC with invoicing directly from Israel or using a corporation before we file.
Example 3: the Israeli company expanding to the USA. An Israeli software company forms a Delaware subsidiary to employ a US sales team. The subsidiary pays US tax on its own profits, and transfer pricing between the companies is documented.
Common mistakes
- Assuming a US LLC is transparent in Israel as it is in the USA.
- Managing a US company from Israel without considering Israeli company residence.
- Choosing an LLC for a startup that investors will want as a Delaware corporation.
- Paying a Delaware franchise tax notice without recalculating it.
- Ignoring Form 5472 because the LLC owes no US tax.
- Using the registered agent's address as the business address on bank applications.
Frequently asked questions
Is a Delaware C-Corp better than an LLC for Israeli residents? Usually yes, because both countries treat it as a company, and investors expect it. Confirm with an Israeli adviser for your case.
What is the US withholding on dividends to an Israeli resident? Under the treaty, generally 25% for individual shareholders (lower rates can apply to company shareholders), if a valid W-8BEN is given.
Can I form a US company from Israel without visiting the USA? Yes. Formation, the EIN and bank applications are all done remotely. See open a US company without visiting.
Do I need an ITIN? Usually not for a single-member LLC or its EIN. See what is an ITIN and who needs one.
