US Company Formation from Kenya (2026): US LLC or Delaware C-Corp for Nairobi Startups and Freelancers, No US Tax Treaty, KRA and Banking

Forming a US LLC or Delaware corporation from Kenya: no US–Kenya tax treaty, how KRA taxes business partly outside Kenya, costs, documents, banking, Stripe and M-Pesa.

US Company Formation from Kenya (2026): US LLC or Delaware C-Corp for Nairobi Startups and Freelancers, No US Tax Treaty, KRA and Banking

Nairobi's "Silicon Savannah" is one of Africa's busiest startup scenes, and many of its fintech, agritech and climate startups raise money from US investors through a Delaware corporation. Kenya also has a large and fast-growing community of developers, writers, designers and remote workers serving US clients, who use a US LLC to get paid in dollars and reach US payment tools.

The US side is fully remote and the same for everyone. Two facts shape the Kenyan side: there is no income tax treaty between the USA and Kenya, and Kenya mainly taxes income from Kenya, with special rules for business carried on partly inside and partly outside the country. This guide explains how US company formation from Kenya works.

Short answer: a Kenyan resident can own 100% of a US LLC or corporation, formed remotely with a passport, without a US visit or SSN. With UCB, a Wyoming LLC with EIN is $249 all-in, or $348 with a US business bank account application; a Delaware corporation with EIN is $308. With no US–Kenya tax treaty, US corporate dividends to a Kenyan owner face 30% withholding, so freelancers and agencies usually choose a US LLC, while startups raising from US investors use a Delaware C-Corporation. A single-member LLC run entirely from Kenya usually owes no US income tax but files Form 5472 every year ($25,000 penalty if missed).

Can a Kenyan resident own a US company?

Yes. US states do not limit the nationality or residence of owners. A Kenyan citizen or resident can own 100% of a US LLC or corporation, be its only manager or director, and form it without a US visa, SSN or US address. Each US company needs a registered agent in its state; the first year is included in every UCB formation. See registered agent explained.

Why Kenyan founders form a US company

  • Raising from US investors. US venture funds and accelerators invest in Delaware C-Corporations, often as the parent ("flip") of the Kenyan operating company. See raising US investment as a foreign founder.
  • Getting paid by US clients in dollars, by ACH, into a US account. See receiving payments from US clients.
  • Full Stripe features. Stripe reaches Kenya mainly through Paystack. A US company with a US bank account can open a full US Stripe account, with US cards and subscriptions. See Stripe for non-residents.
  • US marketplaces and app stores, which pay out to US accounts more easily.

The tax picture for residents of Kenya

No US–Kenya tax treaty

The USA has no income tax treaty with Kenya. Dividends from a US corporation to a Kenyan resident are withheld at the full 30%, US taxation of business profits follows only US domestic rules, and a Kenyan resident's W-8BEN cannot claim treaty benefits. See W-8BEN-E vs W-8BEN explained.

For US tax, a single-member LLC owned by a non-resident is ignored. When the work is done in Kenya, with no US office, employees or dependent agents, the income is usually not effectively connected with a US trade or business, so no US federal income tax is due, but Form 5472 with a pro forma Form 1120 is due every year. A C-Corporation pays 21% on its profits, and without a treaty, profits paid out as dividends lose another 30%. That makes a C-Corporation expensive for a freelancer who takes profits out, but it is still the standard for startups, which reinvest profits and need investors. The Kenyan side

Points for your Kenyan tax adviser:

  • Mainly source-based tax. Kenya generally taxes income that arises in or is derived from Kenya. One important exception: when a Kenyan resident carries on a business partly in Kenya and partly outside, the business income is treated as Kenyan. A freelancer working from Nairobi through a US LLC is doing the work in Kenya, so expect the profit to be taxable in Kenya.
  • Residence. You are Kenyan resident if you have a permanent home in Kenya and were present during the year, or spent 183 days or more there.
  • No treaty relief. Without a US–Kenya treaty, relief for any US tax paid depends only on Kenyan domestic law, which is narrower than treaty relief. This is another reason to avoid US tax being due in the first place, for example by not using a C-Corporation for a freelance business.
  • No exchange controls. Kenya does not restrict moving money in and out, but banks still ask for documents on large transfers; keep invoices and company records ready.
  • Startup flips. A Delaware parent above a Kenyan operating company involves Kenyan company law and tax on the share transfer; lawyers in both countries handle it.

Documents you need

DocumentNotes
Kenyan passportValid, clear colour scan
National ID and KRA PINSometimes requested by banks
Proof of addressA recent utility bill or bank statement in your name
Company name and descriptionTwo or three names; a specific description of the business
Kenyan company documentsOnly if your Kenyan company will own the US company

No SSN, ITIN or US address is needed to form the company or obtain its EIN. See EIN for non-residents.

Banking and payments

US banks and fintechs accept applications from Kenyan residents, with careful review. A clear business description, a working website, consistent details on every document, and a US business address with your own suite number all help. Many Kenyan founders keep a US account for dollar income and move money home through a transfer service, where it can also reach M-Pesa. We tell you which providers currently accept Kenyan residents when we prepare your application.

Worked examples

These are illustrative examples, not client cases.

Example 1: the Nairobi fintech raising a seed round. A US fund will invest only in a Delaware C-Corporation. The founders form one that will own the Kenyan operating company, and lawyers handle the share transfer. Profits are reinvested, so the 30% dividend withholding does not bite yet.

Example 2: the Mombasa content writer. A writer with US agency clients forms a Wyoming LLC so clients can pay by ACH. The LLC usually owes no US income tax and files Form 5472 each year; the profit is taxable in Kenya because the work is done there.

Example 3: the Kisumu developer selling a plugin. A developer sells a WordPress plugin to US customers through Stripe. A Wyoming LLC with a US bank account lets them use US Stripe with subscriptions. See US LLC for SaaS founders.

Common mistakes

  • Choosing a C-Corporation for a freelance business and paying 21% plus 30% on profits taken out.
  • Forgetting Form 5472 because the LLC owes no US tax.
  • Assuming the US LLC's profit is not taxable in Kenya.
  • Using the registered agent's address as the business address on bank applications.
  • Giving US clients a W-9 instead of a W-8BEN-E.
