US Company Formation from Indonesia (2026): US LLC or Delaware C-Corp, the US–Indonesia Treaty, Indonesian Tax on Foreign Companies, Costs and Banking
Forming a US company from Indonesia: the US–Indonesia tax treaty, worldwide income and controlled foreign company rules, Delaware structures for startups, costs, documents, banking and Stripe.

Indonesia is Southeast Asia's largest economy and has produced some of the region's biggest startups, many of them with a Delaware or Singapore holding company. Below the unicorns are thousands of Indonesian developers, designers, agencies and online sellers in Jakarta, Bandung, Yogyakarta and Bali working for US clients, and many of them form a US company to contract, get paid and use US payment platforms.
The US side is fully remote. On the Indonesian side, Indonesia has a long-standing income tax treaty with the USA, taxes residents on worldwide income, and has controlled foreign company rules for residents who own foreign companies. This guide explains how US company formation from Indonesia works.
Short answer: an Indonesian resident can own 100% of a US LLC or corporation, formed remotely with a passport, without a US visit or SSN. With UCB, a Wyoming LLC with EIN is $249 all-in, or $348 with a US business bank account application; a Delaware corporation with EIN is $308. A single-member LLC run entirely from Indonesia usually owes no US federal income tax but files Form 5472 every year ($25,000 penalty if missed). The US–Indonesia treaty (in force since 1990) caps US withholding on corporate dividends at 15%, or 10% for a company owning at least 25%. In Indonesia, residents are taxed on worldwide income, so the US company's profit is reported at home; your *konsultan pajak* confirms how.
Can an Indonesian resident own a US company?
Yes. US states do not restrict owners' nationality or residence. An Indonesian citizen, resident or PT can own 100% of a US LLC or corporation, and an Indonesian can be its only manager or director, without a US visa, SSN or US address. Every US company needs a registered agent in its state; the first year is included in every UCB formation. See registered agent explained.
Why Indonesian founders form a US company
- US investors. US and global venture funds invest through Delaware C-Corporations, often as the parent of the Indonesian PT. See raising US investment as a foreign founder.
- US clients, who prefer a US supplier paid by ACH. See receiving payments from US clients.
- Stripe. Stripe's direct support for Indonesian businesses is limited; a US company with a US bank account can open a full US Stripe account. See Stripe for non-residents.
- Selling online to US customers through Shopify, Etsy and Amazon.com. See US LLC for e-commerce sellers.
The tax picture for residents of Indonesia
The US–Indonesia tax treaty
The USA and Indonesia signed an income tax treaty in 1988, in force since 1990 and amended by a 1996 protocol. US withholding on corporate dividends to an Indonesian resident is limited to 15%, or 10% where an Indonesian company owns at least 25% of the US company, provided the treaty's conditions are met. Business profits are taxable in the USA only through a permanent establishment there. See W-8BEN-E vs W-8BEN explained.
LLC or corporation?
| US LLC (single-member) | US C-Corporation | |
|---|---|---|
| US federal tax if all work is done in Indonesia | Usually none | 21% of profits |
| US tax when profits reach the owner | None | 15% (10% for a 25%+ corporate owner) |
| Yearly federal filing | Form 5472 + pro forma 1120 | Form 1120 + Form 5472 |
| Suits | Freelancers, agencies, online sellers | Startups, subsidiaries of a PT |
A single-member LLC owned by a non-resident is disregarded for US income tax. When the work is done in Indonesia, with no US office, employees or dependent agents, its income is usually not effectively connected with a US trade or business, and no US federal income tax is due; Form 5472 with a pro forma Form 1120 is filed every year. A C-Corporation pays 21% on its profits and is the standard for startups. See effectively connected income explained, Form 5472 explained and LLC vs Inc for non-residents.
The Indonesian side
Points for your *konsultan pajak*:
- Worldwide income. Indonesian tax residents are taxed on worldwide income, and report foreign assets, including shares or interests in a US company, in their annual return (SPT Tahunan).
- Controlled foreign companies. Indonesia's CFC rules can treat an unlisted foreign company controlled by Indonesian residents as having paid a dividend each year, so its profit is taxed in Indonesia even if it stays in the USA. How a transparent US LLC is treated, as a company or as you directly, is a key question for your adviser.
- Foreign tax credit. Where US tax is paid, Indonesia generally gives a credit, within limits.
- Where the company is managed. A foreign company run day to day from Indonesia may be seen as having an Indonesian permanent establishment or residence; startups with a Delaware parent plan board meetings and management with their lawyers.
- Bringing money home. Indonesian banks receive foreign currency freely; keep invoices and payout statements for your bank.
We handle the US side; your Indonesian adviser confirms the Indonesian side.

Documents you need
| Document | Notes |
|---|---|
| Indonesian passport | Valid, clear colour scan; the KTP alone is not enough for US banks |
| NPWP | Banks may ask for your Indonesian tax number |
| Proof of address | A recent utility bill or bank statement in your name |
| Company name and description | Two or three names; a specific description of the business |
| PT documents | Deed of establishment and NIB, if your Indonesian company will own the US company |
No SSN, ITIN or US address is needed to form the company or get its EIN. See EIN for non-residents.
Banking and payments
US banks and fintechs accept applications from Indonesian residents. A precise business description, an English-language website, matching details on every document and a US business address with your own suite number help. For a subsidiary, banks also ask for the PT's documents and an ownership chart. See US business bank accounts for non-residents and why banks reject non-resident applications.
Worked examples
These are illustrative examples, not client cases.
Example 1: the Jakarta startup. A fintech raising from a US fund forms a Delaware C-Corporation that will own the Indonesian PT. Lawyers in both countries handle the share transfer and Indonesia's foreign ownership rules for the PT.
Example 2: the Bandung design agency. An agency with US clients forms a Wyoming LLC that holds the contracts and pays the Indonesian team. The LLC usually owes no US income tax; the owner reports its profit in Indonesia.
Example 3: the Bali creator. A photographer selling presets and courses to US customers forms a Wyoming LLC to use US Stripe. See US LLC for content creators.
Common mistakes
- Assuming the US company's profit is not taxable in Indonesia until it comes home.
- Leaving the US company out of the SPT asset list.
- Forgetting Form 5472 because the LLC owes no US tax.
- Giving US clients a W-9 instead of a W-8BEN-E.
- Using the registered agent's address as the business address on bank applications.
