How to Start a Legal Process Outsourcing (LPO) or Patent Research Company for US Law Firms from Abroad (2026), Without Visiting: US LLC or C-Corp, EIN Without an SSN, Bank Account, Unauthorised Practice of Law, Attorney Supervision, Confidentiality, Conflict Checks and Patent Rules

How a legal process outsourcing, document review, paralegal support, contract management or patent search company outside the USA sets up a US company remotely to serve American law firms and legal departments: LLC or C-Corporation, EIN without an SSN or ITIN, a US business bank account without visiting, services and pricing, unauthorised practice of law, how US lawyers supervise outsourced work, confidentiality, privilege and conflict checks, patent and trademark rules, export controls on inventions, insurance, tax, and worked examples.

US law firms and corporate legal departments send a large share of their routine legal work abroad. Teams in India, the Philippines, South Africa and Latin America review documents for lawsuits, summarise contracts, draft first versions of agreements, check citations, prepare patent searches and drawings, and run docketing for patent and trademark portfolios.

Legal process outsourcing (LPO) works because US legal work is expensive, much of it is document-heavy, and it can be done anywhere with a secure connection. A US company makes it easier to sign US law firms, pass their security reviews and get paid in dollars.

There is one rule that shapes the whole business: only licensed US lawyers can practise law in the USA. An LPO succeeds by doing excellent legal support work under the supervision of US lawyers, never by giving legal advice itself. This guide explains how to set up without visiting the USA, and how to stay on the right side of that line.

In short: A non-resident can form a US LLC or C-Corporation without visiting, get an EIN without an SSN or ITIN, and open a US business bank account remotely. With your team working abroad, a foreign-owned single-member LLC usually owes no US federal income tax, but files Form 5472 every year. Work for US law firms and in-house legal teams, under the supervision of a US-licensed lawyer, and don't advise the public. Expect strict confidentiality, security and conflict check demands. Before US patent work goes abroad, the firm must deal with export controls and foreign filing licences. Only registered practitioners can represent clients at the USPTO.

Can you start an LPO in the USA without visiting?

Yes:

  • Form the LLC or corporation online through a registered agent
  • Get the EIN without an SSN or ITIN with Form SS-4
  • Open a US business bank account without visiting
  • Sign master services agreements with law firms electronically

Expect four to eight weeks for the company, EIN and bank account. See opening a US company without visiting, EIN for non-residents and the US business bank account guide. A US business address helps when law firms onboard you; see virtual office addresses.

US LLC or C-Corp?

US LLC formation for an LPO

A single-member LLC suits an LPO whose work is all done abroad. It is disregarded for US tax, and fees for services performed outside the USA are generally foreign-source, so the LLC usually owes no US federal income tax if it has no US office or staff. It files Form 5472 with a pro forma 1120 every year ($25,000 penalty if missed). See Form 5472 explained.

A Wyoming LLC with EIN is $249, or $348 with a bank account, then $121 a year.

A C-Corporation (21% federal tax) fits better if you:

  • hire US-based staff, such as a US attorney to manage quality and client relationships, or US reviewers
  • build legal technology alongside the services and plan to raise money
  • plan to sell the business; LPOs are frequently bought by larger providers

A Delaware corporation with EIN is $358, then $578 a year. See LLC vs Inc and effectively connected income.

The core rule: no unauthorised practice of law

Every US state limits the practice of law to lawyers licensed in that state. Practising without a licence, called unauthorised practice of law (UPL), can be a crime. For an LPO, that means:

  • Work for lawyers, not the public. Your clients are law firms and corporate legal departments. Don't sell legal documents, opinions or "legal help" to US consumers or small businesses directly
  • A US lawyer supervises and takes responsibility. The lawyer reviews your work, makes the legal judgements and signs anything filed or sent to their client
  • Don't give legal advice, even if your team are qualified lawyers in their own country. A lawyer licensed in India, the Philippines or the UK is not licensed in a US state
  • Use careful wording: "research memo for attorney review", not "legal opinion"

The American Bar Association has confirmed that US lawyers may outsource legal work, including abroad, if they:

  • are competent to supervise it and check the quality
  • supervise the work and remain responsible for it
  • protect client confidentiality
  • get the client's consent where needed, especially when confidential information is shared
  • bill fairly for it, without charging outsourced work as if it were their own lawyers' time

Your service model should make each of these easy for the law firm: clear supervision workflows, quality reports, security documentation, and invoices that show what work was done.

Confidentiality, privilege and conflicts

Law firms are bound by strict duties to their clients, and they pass those duties to you.

  • Confidentiality agreements with the firm and with every team member
  • Security: secure review platforms, no downloads, no personal devices, no public AI tools, access logs. Many firms ask for ISO 27001 or a detailed security questionnaire. Some litigation protective orders limit who can see documents, or where they can be seen, so the firm must confirm offshore review is allowed
  • Privilege: careless handling can waive attorney-client privilege. Follow the firm's privilege protocol exactly
  • Conflict checks: you must not work for both sides of the same dispute, or for a party adverse to a client on related work. Keep a conflicts database of matters and parties, and check every new matter before starting. Law firms will ask how you do this
  • Data from health or financial matters: injury cases bring medical records and may require a HIPAA business associate agreement; see the medical billing company guide

Patent and trademark work

Patent searches and drafting support

Patent searches and analytics are among the best-paying LPO services. Your team prepares search reports and charts; a registered patent attorney or agent reviews them and gives any opinion on patentability, infringement or freedom to operate.

  • Only registered patent practitioners can represent applicants before the USPTO. Registration generally requires US citizenship or residence; limited exceptions exist. So your team supports US practitioners rather than filing for clients
  • Drafting support: your team can prepare draft specifications, claims and drawings for the practitioner to review, revise and file
  • Patent drawings follow USPTO formatting rules; illustration is a steady service on its own

Export controls and foreign filing licences

Inventions made in the USA can't be sent abroad for filing before a foreign filing licence is granted or six months have passed since the US filing. Separately, technical details of some inventions are export-controlled under the EAR or ITAR, especially in defence, aerospace, encryption and some semiconductor and biotech areas. Sending those details to a drafting or search team abroad can be an export.

The law firm is responsible for checking, but you should ask: "Has this matter been cleared for work outside the USA?" Decline defence-related work unless the firm confirms in writing that it can be done by your team.

Trademarks

Foreign-domiciled applicants must use a US-licensed attorney to file US trademark applications. An LPO can run trademark searches, prepare watch reports and support docketing for US firms, but not file or advise.

Insurance and contracts

  • Professional liability (E&O) insurance for your company: law firms often require it
  • Cyber insurance, given the sensitive data
  • Master services agreement covering confidentiality, security, data return and deletion, supervision, quality standards, limitation of liability, no-solicitation of staff, and the firm's responsibility for legal judgements

See contracts with US clients.

Your team abroad

  • Employees through a local company in your home country that invoices the US company under an intercompany service agreement, reported on Form 5472
  • Freelance reviewers or searchers sign contractor agreements with strict confidentiality and give Form W-8BEN. See paying contractors abroad
  • Training: US legal system basics, US citation styles, privilege, confidentiality and the firm's own rules
  • Local bar rules: some countries restrict lawyers who practise locally from doing certain work for foreign firms. Check your country's bar rules for team members who are practising lawyers

Indian owners must follow the ODI rules; see ODI and FEMA rules.

Getting paid and sales tax

Examples

These examples are illustrative.

Kavya, Bengaluru: patent searches. Kavya's team of 20 engineers and science graduates runs prior art and invalidity searches for US patent firms. Each report goes to a US patent attorney, who gives any opinion. A Wyoming LLC signs the contracts, and every new matter is checked against a conflicts list. When a firm sent a drone navigation invention, Kavya asked whether it was cleared for offshore work before starting. All work is done in India, so the LLC files Form 5472 and owes no US federal income tax.

Bea, Manila: document review. Bea's reviewers, many of them Philippine law graduates, review documents for US litigation firms on the firm's review platform. Reviewers work in a secure room with no phones, and every matter has a privilege protocol from the supervising US attorney.

Neha, Kochi: medical record summaries. Neha's team of nurses summarises medical records for US personal injury firms. Each firm signed a HIPAA business associate agreement with the US LLC, and summaries are labelled "for attorney review".

Rohit, Gurugram: contract management platform. Rohit built AI-assisted contract review software with a team that checks its output, sold to US in-house legal teams. After hiring a US attorney as head of legal operations in New York, Rohit formed a Delaware C-Corporation, which files Form 1120.

Common mistakes

  • Selling legal help to US consumers directly.
  • Calling work product a "legal opinion" or advice.
  • Skipping conflict checks on new matters.
  • Starting patent work without asking about export controls.
  • Using public AI tools on client documents.
  • No E&O or cyber insurance when firms expect it.
  • Forgetting Form 5472 because the LLC owes no US income tax.

Frequently asked questions

Can I start an LPO company for US law firms from India without visiting? Yes. The company, EIN and US bank account are all set up remotely.

Do I need an SSN or ITIN for the EIN? No. Foreign owners apply with Form SS-4.

Can lawyers outside the USA do legal work for US clients? They can do legal support work for US lawyers, who supervise it and remain responsible. They can't give legal advice to US clients directly.

Can my team file patent applications at the USPTO? No. Only registered patent practitioners can represent applicants. Your team can search and prepare drafts and drawings for them.

Will my US LLC pay US tax on LPO fees? Usually not, if all work is done abroad and there is no US office or staff. It still files Form 5472.
